Evgeniy has substantial experience in advising on corporate law issues, including establishment, operation, restructuring and liquidation of legal entities, acquisition and alienation of companies (stocks, shares in statutory fund), as well as opening and winding-up of representative offices of foreign organizations.

Selected professional experience:

• Advising on establishment of commercial and non-commercial organizations, opening of representative offices of foreign organizations:
  • support of the procedure for establishing a number of commercial organizations operating in various fields: from trade to IT and equipment manufacturing;
  • participation in projects on entering the Belarusian market by a number of foreign and international companies operating in various fields (IT, clothing manufacturing, retail, food production, public catering, agriculture, vehicle rental, etc.);
  • support of the procedure for establishing resident companies of Hi-Tech Park and Great Stone Industrial Park;
  • support of the procedure for establishing a number of non-commercial organizations of various organizational and legal forms (institutions, foundations, cooperatives, public associations);
  • support of the procedure for establishing representative offices of foreign and international companies, including a representative office of one of the leading manufacturers of household appliances.
• Advising on restructuring of legal entities:
  • support of the procedure for restructuring of commercial organizations operating in various fields;
  • support of the procedure for restructuring in the form of transformation of an institution into a foundation.
• Advising on acquisition/alienation of stocks (shares in statutory funds) of business companies:
  • support of the procedure for purchase and sale of stocks (shares in statutory funds) of a number of commercial organizations;
  • participation in Legal Due Diligence of Belarusian companies.
• Advising on liquidation and insolvency of legal entities, as well as winding-up of representative offices of foreign organizations:
  • support of the liquidation procedure of a number of commercial organizations, including companies with foreign members (founders);
  • support of the winding-up procedure of a representative office of a foreign bank;
  • support of the winding-up procedure of a number of representative offices of foreign and international companies;
• Advising on other corporate law issues:
  • advising on additional emission of stocks, including support of the procedure for closed stock subscription;
  • advising on information disclosure in the securities market;
  • representation of interests at general meetings of members (shareholders) of business companies;
  • drafting constituent documents and other local normative legal acts of commercial and non-commercial organizations, improvement and bringing into compliance with the legislation of corporate documents already in force in the organization.
• Administrative and legal protection of individuals and legal entities.

Education:

• Faculty of Law, Belarusian State University;
• Advanced training on academic discipline «Defense Attorney’s Activities in a Criminal Process» at Institute for Retraining and Qualification Upgrading of Judges, Prosecutors and Legal Professionals of Belarusian State University.
