PROFESSIONAL EXPERIENCE:

• Advising on the Belarusian part of acquisition of a renewable energy project and legal support during implementation of the project;
• Legal due diligence of a retail chain and buy-side advice on a potential transaction, including structuring, SPA and issues of the competition laws;
• Advising at the pre-investment stage and during negotiations of an investment agreement on a USD 80 mln project;
• Advising on implementation of a USD 70 mln project, including creation of a joint venture and acquisition of state-owned industrial facilities in the city of Minsk and Minsk region;
• Legal support on the issues of implementation of the Privatization Project of the International Bank for Reconstruction and Development and attraction of strategic investors for the state-owned enterprises from the food, pharmaceutical and construction sectors;
• A number of legal due diligence projects, including LDD of several retail chains, bank, manufacturer of vacuum sputtering equipment;
• Advising a number of foreign companies on the issues of merger control, including change of indirect control in cross-border transactions in telecommunications, pharmaceuticals, retail.
