PROFESSIONAL EXPERIENCE:

  • Preparation of draft documents, regulation of the legal status of the collegial executive body for the Belarusian construction company;
  • Support of the procedure of staff reduce in the state telecommunications company of 100 people;

Corporate matters:

Administration of a number of M&A transactions, the most substantial of which are the following:

  • M&A transaction for USD 1,000,000 (in the interests of a foreign producer and supplier of industrial and medical gases)
  • M&A transaction complicated by amendments in an investment agreement for EUR 1,650,000 (in the interests of a foreign operator of an alternative energy facility)

Management of a number of legal due diligence projects, the most substantial of which are projects implemented in the interests:

  • a major retail chain,
  • a producer of dairy products for children,
  • a Belarusian office of an international IT company,
  • a leading provider of system integration services,
  • a large national producer of oil extracting equipment.

Supervision of the support of a pilot project on recruitment of strategic investors to state-owned companies (construction pool: 4 companies) implemented by the National Agency of Investments and Privatization with support from the World Bank.

Labor and migration matters:

  • HR support (staff outsourcing) in local offices of foreign companies
  • Conducting HR audits in Belarusian companies and local offices of foreign companies;
  • Legalizing the stay of foreign specialists in Belarus
  • Following up on dismissal of a number of inefficient employees in organizations of various forms of incorporation and from various sectors
  • Entry of international companies into the Belarusian market, including a major international provider of HR management solutions
  • Supporting the operations of a foreign sports academy in Belarus
  • Advising on remuneration of managers of public organizations and organizations with government shares
  • Following up on the procedure of staff reduction in a telecom company with more than 100 employees
  • Regulating a labor conflict between the founders and the manager of an oil product exporting company
