Alena specializes in complex support of corporate disputes. In addition, Alena’s portfolio includes a large number of projects on representing clients’ interests in inspections of law enforcement agencies, in particular on the issue of proper calculation and payment of taxes.

PROFESSIONAL EXPERIENCE:

• Protection of majority shareholders’ interests of Belarusian business entity in courts and law enforcement agencies concerning the alienation of the exclusive right to a trademark by the director. Assistance in the preparation of agreements on the settlement of corporate conflicts, including the alienation of shares and the change of director.
• Assistance of minority owners of a large company engaged in the development and production of plant protection products in a corporate conflict, that was settled without litigation.
• Complex protection of majority shareholders of a company specializing in the transportation of liquid cargo. Representation the interests of the plaintiff in cases of challenging the decisions of the general meeting of shareholders on the redistribution of shares of LLC shareholders, as well as on invalidating the state registration of amendments to the charter as they were carried out on the basis of deliberately false information. Defense on a claim for exclusion from the membership of the LLC.
• Defense on a claim for invalidation of decisions of the general meeting of shareholders on the reorganization and redistribution of shares on the basis of revocation of the power of attorney for the representative of the voting shareholder.
• Protection of interests of a large Belarusian company in the Arbitration Court of St. Petersburg and the Leningrad region against the claim of the counterparty.
• Support of the client in the audit of financial and economic activities concerning the fulfillment of tax obligations in the amount of about 500,000 USD, developing a defense strategy, preparation of objections to the audit report.
• Representation interests of a large supplier of fur products in court in a dispute with the tax inspection on the additional charge of undeducted income tax.
• Representation interests of an international company providing services for the transportation and forwarding of goods in an administrative process, which resulted in the return of the seized vehicle without the use of confiscation.
• Support of a Russian company specializing in wholesale and retail trade of food and logistics services in the case of recovery of funds from the state budget, which were obtained from the sale of illegally seized goods.
